Terms & Conditions of Service

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you (“Client”, “User”) and ClientStack Solutions Private Limited (“Company”, “ClientStack”, “we”, “us”). By accessing our website, requesting product demonstrations, or subscribing to our software solutions (HRMS, CRM, SCMS, POS, and custom development services), you acknowledge having read, understood, and agreed to be bound by these terms.

2. Software Subscriptions & Licenses

ClientStack provides non-exclusive, non-transferable access to cloud-hosted software modules:

• HRMS (Workforce Management): Billed based on active employee headcount at the published base rate of ₹1 per user per day (or negotiated enterprise pricing) billed monthly or annually.
• CRM (Customer Relationship Management): Base tier includes up to 10 active sales users at ₹399/month. Additional user seats can be provisioned as needed.
• SCMS (School & College Management): Starting institutional rate at ₹499, scaled in tiers based on enrolled student strength.
• POS (Point of Sale): Configured according to outlet terminal count and optional local hardware bundles under an approved order schedule.

3. Custom Engineering & Statements of Work

Custom website development and bespoke software engineering projects are delivered pursuant to a dedicated Statement of Work (SOW) detailing milestones, specifications, deliverables, and payment terms. Intellectual property rights for custom code are transferred to the client upon full payment of all contracted milestones.

4. Payment Terms & Taxes

All software invoices are denominated in Indian Rupees (INR) and are subject to applicable government Goods and Services Tax (GST 18%). Standard cloud subscriptions are billed in advance on a monthly, quarterly, or annual cycle. Invoices are payable within 15 days of issuance.

5. Acceptable Use & Account Security

You agree not to:

• Reverse engineer, decompile, or copy the underlying proprietary source code of ClientStack SaaS products.
• Transmit unlawful, defamatory, malicious, or infringing content through the platforms.
• Attempt to circumvent security mechanisms, firewalls, or user authentication tokens.
• Share user credentials across unauthorized individuals to bypass user-tier limits.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ClientStack Solutions Private Limited shall not be liable for any indirect, incidental, or consequential damages resulting from service interruptions, internet failure, or unauthorized account access resulting from compromised client credentials. Total liability under any claim shall not exceed the fees paid by the client in the three (3) months preceding the incident.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Thane / Mumbai, Maharashtra.
